1. Message from the Chairman of the Ethics Committee
In line with its mission of contributing to better health throughout the world, Daiichi Pharmaceutical believes that it has a responsibility to society to create innovative pharmaceutical products that can be scientifically demonstrated to be highly safe and efficacious. Besides rigorously complying with all relevant laws and regulations, the Company promotes management postures that place strong emphasis on maintaining the highest standards of corporate ethics. We recognize that such standards are an essential foundation for the realization of our mission.
Moreover, the operating environment for Japanese pharmaceuticals companies is undergoing a dramatic shift-moving from the assumption that what is not explicitly permitted is prohibited towards the new assumption that companies are essentially free to do that which is not explicitly prohibited-that makes all the more important that companies themselves take the initiative in doing what is needed to sustain high ethical standards. Accordingly, in January 2000, we instituted the "Daiichi Conduct Guidelines," which describe the standards of conduct all Daiichi officers and employees are expected to adhere to. Since that time, we have encouraged grass-roots campaigns to ensure the spirit of those guidelines comprehensively pervades every one of our facilities and organizational units.
The guidelines stipulate that Daiichi will sincerely and with pride strive to maintain an outstanding record of strict compliance with relevant laws and regulations and also maintain the most rigorous standards of corporate ethics. The guidelines thus constitute the most fundamental standard for evaluating all corporate activities, and they also serve as the core of the Company's newly introduced internal control systems, which comply with systems that have been mandatory for Japanese companies since May 2006.
By continuing to give top emphasis to strict compliance with the "Daiichi Conduct Guidelines," we intend to build highly sound and fair relationships with customers, business partners, shareholders and investors, local communities, employees, and other stakeholders while also living up to the trust and expectations of those stakeholders.

2. Messages from External Members of the Ethics Committee
As pharmaceutical products are within the field relate to human life and body, a high level of ethics is required in each stages of research and development, manufacturing and sales in order to provide highly-useful pharmaceutical products to the society. In pursuit of further thorough implementation of corporate ethics, Daiichi has established an ethics committee (hereinafter the "Ethics Committee") in which I, as a legal advisor, am a member of. The Ethics Committee monitors the degree of implementation of the "Daiichi Conduct Guidelines" within Daiichi as well as the status of compliance by each unit of the administrative organization of Daiichi from the semi-annual reports on compliance of the Conduct Guidelines which I examine from a lawyer's perspective. In addition, as an external advisor for Daiichi's in-house hotline services, I respond sincerely to those who come for consultation and offer them my advice on appropriate improvement measures. I will commit to contribute to ensure that each and every board member and employee of Daiichi will be in legal compliance as well as carry out their activities in social sense so as to implement corporate ethics, and eventually, Daiichi Pharmaceutical will be trusted by the society.

Consequently, it is believed that, in order to be trusted by the society and to attain social responsibility, it is indispensable for a company to independently establish its own scope of ethics and achieve transparency and fairness in every aspect. Daiichi is in a position where transparency and fairness can be realized in all aspects and is committed to fulfill its social responsibility. Education and Cultivation
Daiichi puts emphasis on education and cultivation towards the fulfillment of the "Daiichi Conduct Guidelines." Lectures for board members are held by external lecturers. Training is provided for employees by the supervisors for the promotion of the conduct guidelines sited at each department and operation site, and training by the Ethics Committee Secretariat is also available. Further, an explanation is given during orientation training for newly recruited employees and newly appointed executives.

Written Oath
All board members and employees submit a written oath as proof that one will observe and act in compliance with the "Daiichi Conduct Guidelines."

Monitoring
We conduct anonymous monitoring subject to all employees aimed at grasping the degree of implementation of the "Daiichi Conduct Guidelines." The results are released companywide and efforts are made that will lead to improvement.

Thorough Implementation of Corporate Ethics throughout the Group
The conduct guidelines are formulated under a common philosophy of "legal compliance" and "respect of ethics" in-worldwide group companies, and we place emphasis that it is satisfactorily complied with and thoroughly implemented. Sharing of information and training with other group companies in Japan is conducted through the "Conduct Guidelines Implementation Conference." Additionally, the International Business Department Ethics Committee backs up those activities of overseas group companies and reports the status of their implementation to the Ethics Committee.

Hotline Services
This is the hotline services for "Daiichi Conduct Guidelines." Aside from a hotline service provided by internal advisors (i.e. members from the Ethics Committee Members and Ethics Committee Secretariat), there is also a hotline service provided by personnel external advisors (corporate legal advisors of Daiichi). Both are dedicated to providing prompt response in strict confidentiality.
