ERG Announces Acquisition of Venus Card Platform
------------------------------------------------------------
ERG Group today announced the acquisition of a licence to Motorola’s Venus Platform smart card technology and the purchase of certain machinery and equipment needed for the manufacture of Venus smart cards. The transaction significantly strengthens the technology base of ERG. The Venus technology is the only smart card technology in the world today capable of supporting high-speed contactless smart card transactions which also has Proton World certification. The Venus technology provides an operating system embedded on the chip of a smart card. Its presence facilitates the use of applications such as those developed by Proton World. As part of this transaction, ERG has on-sold the manufacturing equipment to the French smart card manufacturing company ASK SA. ERG has also appointed ASK as its preferred
supplier for the supply of smart cards to ERG for its transit projects. To enable ASK to supply ERG smart cards, ERG has granted ASK a non-exclusive sublicence to the Venus technology.

The transaction follows ERG’s acquisition of Proton World on 31 October 2001 and significantly enhances the business case ERG provides to its customers. The transaction should ensure ongoing lower costs of supply for smart cards supporting ERG’s technology base. The agreement entitles ERG to use, develop and sell the Venus technology throughout the world without time constraints. The licence includes certain exclusive rights in Motorola’s copyrighted Venus technology, software and associated source code. The technology is currently used by ERG in transit projects such as San Francisco, Rome and Manchester. The transactions with Motorola and ASK will have a positive impact on the ERG Group cash flow and operating profit in the current financial year. ERG’s Chief Technology Officer, Mr Viv Miners, said the Venus technology was important to ERG’s expansion beyond transit applications of smart cards. "The ERG portfolio now includes Motorola’s Venus platform that ideally complements our Proton acquisition. The two transactions are significant steps in ERG’s strategy to penetrate markets beyond the transit sector. 15 November 2001

Venus Platform
------------------------------------------------------------
The Venus platform is one of the most advanced multi-application, dual interface smart card platforms available today. This enables true multi-application smart cards to be introduced that can be used for any application. The highlights of the Venus platform are the Transit and Proton applications which are recognised as world leading in their field. The Venus platform is the first to combine a high performance Transit application and a Proton open electronic purse on a dual interface smart card. The Transit application has been developed in close cooperation with ERG to ensure the speed and reliability needs of transit are met together with a level of flexibility to enable the card to be used in all parts of the world. ERG is currently using this application in many locations including Rome, San Francisco and Manchester. The major feature of the Venus platform is the patented unique anti-tearing algorithm to totally eliminate the possibility of corrupting data on the card during a transaction, while retaining full security through the entire transaction.
------------------------------------------------------------
The Proton electronic purse has been fully certified by Proton and is compatible with the 35 million Proton cards that have been issued throughout the world. The Venus platform achieves a level of cryptographic security which complies with the stringent requirements for a banking level open payment application.
------------------------------------------------------------
The Venus platform is built on a purpose designed Operating System using a structured, layered and object oriented methodology. The approach adopted in the Venus platform is to be fully compliant to international standards, and is one of the first cards to have a contactless interface fully compliant to ISO 14443 together with a contact interface compliant to ISO 7816. Security plays a very important part of building a multi-application card and the Venus platform incorporates both DES and Triple DES inbuilt security, as well as the latest DPA/SPA resistance. To complete the Operating System, a fully

This combination of features make the Venus platform fully EMV compatible. ASK SA Founded in 1997, ASK is today a world leader in the design, development, marketing and
manufacturing of dual interface contactless smart cards. The international smart card community recently recognised the company’s unique contactless paper technology for disposable ticketing at the Cartes 2001 card show in Paris, when ASK won two prestigious 2001 SESAME awards – Best Application and Best Transport Application. ASK has already supplied more than 7 million contactless cards and paper contactless tickets that are in operation in more than 35 cities in Europe, Asia and America. Clients include SNCF and RATP in Paris; transit operators in Lisbon, Lyon, Venice, Naples, Taipei and Nice; and BMS, a project in France sponsored jointly by the financial services and transport
industries. The ASK manufacturing and personalisation operations are in Sophia Antipolis, France with commercial offices in Paris and Hong Kong.
