1. BUYER SUBMITS LETTER OF INTENT, CLIENT�S INFORMATION SHEET, COPY OF THE SIGNATORY�S PASSPORT AND FEE PROTECTION AGREEMENT.

2. AFTER DUE DILIGENCE OF ABOVE DOCUMENTATION, FOR HIS ACKNOWLEDGMENT, THE SELLER WILL COUNTERSIGN AND RETURN THE LETTER OF INTENT TO THE BUYER WITHOUT DELAY, TOGETHER WITH A DRAFT PURCHASE AGREEMENT. UPON RECEIPT OF COUNTERSIGNED LETTER OF INTENT, THE BUYER WILL SUBMIT A FORMAL OFFER TO BUY, REPRESENTED BY A PURCHASE AGREEMENT TO PURCHASE MEDIUM TERM NOTES, SENIOR, UNSUBORDINATED BANK DEBENTURES AS DESCRIBED BY THE LETTER OF INTENT.
