Dear State Executive Directors and Miss Americas:

I am thrilled to announce to our Miss America family today that, "IT'S OFFICIAL!!" After months of research and negotiations, it is my pleasure to let you know that we have reached a multi-year agreement with CMT and MTV Networks for the telecast rights to our prestigious "Miss America Pageant."

As I had expressed to all of you through these past months, finding the right network partner takes time and patience. We are confident that Miss America has found the perfect match in CMT and MTV Networks. CMT plans to fully utilize its resources across MTV Networks, which will include off channel and cross channel promotion and additional programming on other Viacom-owned networks, including VH1. CMT and MTV Networks also plan to devote millions in marketing and promotion to build the Miss America brand and promote our show.

CMT's audience features a strong, growing base of younger 18-34 year old viewers, which is important to our ongoing success on television. CMT's audience is also the "Heartland of America," the same loyal audience that has loved and watched Miss America for decades. CMT is about to complete its seventh consecutive quarter of record ratings growth, and 2005 is already on track to surpass 2004 as CMT's most watched year ever.

Please review the attached press release which will be serviced to the media this afternoon. Many of you will probably be receiving phone calls from reporters with regard to this exciting announcement, so please remember that all media calls should be directed to Jenni Glenn in our Communications Department so that she can assign the proper spokesperson.

I am truly thankful that you placed your trust and faith in me and our Board of Directors to make the right decision and ensure that Miss America would continue to have a home on television sets across the country. We hope you are all as excited as we are to begin this new partnership with CMT and MTV Networks... a place where Miss America is sure to receive the proper promotion and attention that it deserves!
