Potential Bank Takeover Opportunity

This is a unique deal which requires immediate action.

Some of the highlights are:

Bank has approximately $ 500 million in assets.

Bank is currently owned by a one bank holding company with a public market status and due to the banks current position a relatively speaking low market cap.

Current stock price is at or near its low point.

The spread between the high and the low is about $ 17.00 per share.

Deal will be set up and close through an offshore blind pool.

Arrangements are being discussed to bring approximately $50,000,000.00 in cash to an escrow to close the deal.

We anticipate a REG S offering at some point in the future to assist in repositioning the bank holding company in the capital markets by adding assets and increasing the value of the deal.

On a parallel track, we anticipate setting up a parallel listing on the Hong Kong Market and perhaps on one of the European markets as well.

$ 510,000.00 cash required to position the deal for closing.

In addition to a possible ownership position in the bank, this is a unique opportunity for an upside stock play.

There are problems with the deal and the underlying asset values and that is why those problems are best dealt with through a blind pool as it enables us to properly position the transaction without tipping our hands to the market.
