Suggest if this is acceptable to your buyer that they
1. Confirm this in writing to you
2. Confirm the acceptance of the soft price offered
3. You then contact the Iranian shippers, Goldenwaves, to get their shippingquote, pass it along to your buyer
4. Have the buyer fax or Email to you the text, unsigned and without buyersname on it, of the LC that they propose to use to buy the barley. The sellerwill pass that to his bank for their acceptance. The text must be completelyfilled out, with all spaces BESIDES buyers name (and unsigned) filled in.
NON- DISCLOSURE AND NON-CIRCUMVENTION AGREEMENT
Whereas, the parties hereto,_________________________________ and BarterInternational (herein after referred to as “Parties”), are entering orparticipating in one or more business transactions concurrently herewith and /or hereafter during the term of this agreement (hereafter individually and / orhereafter during the term of this agreement (hereafter individually and / orcollectively referred to as “the subject”). And,
Whereas, the parties mutually recognize that in the transaction of thebusiness, each may learn from the other (including associates) the identity,addresses, telephone, telefax, telex, numbers of clients, customers, suppliers,agents, brokers, buyers (hereafter referred to as “CONFIDENTIAL SOURCE”) ofwhich the other party has acquired by years of investment time, expense andeffort.
Now therefore, in consideration of the mutual promises set forth herein, eachparty covenants and agrees as follows:
(1) That all confidential sources and confidential information of each partyare valuable property and shall be and remain an exclusive property of suchparty.
(2) That either party (including the associates, agents, affiliates orrepresentatives) of such party will not attempt, directly or indirectly, tocontact the other party’s CONFIDENTIAL SOURCE on any matter relating to thesubject business or contact or negotiate with a CONFIDENTIAL SOURCE or make anyuse of any confidential information of the other party, except through suchother party or with the express written consent of such other party and ALLCOMMISION STRUCTURES. Upon contacting any CONFIDENTIAL SOURCE, the partiesagree to identify themselves as are presentative of the authorizing party andin no other way any violation of these covenants shall be deemed an attempt tocircumvent the other party.
(3) Each party agrees that neither such party nor any associated agent,affiliate, or representative of such party will disclose to any third party anyCONFIDENTIAL SOURCE of information of the other party obtained in thetransaction of the subject business.
(4) All parties agree not circumvent, nor attempt to circumvent the other partyin any transaction pending or in the future. This document binds all parties,their employees, associates, agents, attorneys, assignees, transferees anddesignees.
(5) In the event of any violation of this agreement, the breaching party willbe liable to the injured party upon the successful completion of thetransaction in question, plus any other and further relief deemed proper by acourt of competent jurisdiction. It is further agreed that any violation ofthis agreement constitutes irreparable injury to the injured party. Inaddition, the breaching party will pay all costs and attorney’s fees incurredin the enforcement of this agreement under the laws of the State of Maryland.
(6) All parties agree that the fee structures will be agreed to in writingprior to the closing of each transaction that is done. It is also agreed thatthe only fees paid will be to the parties executing this agreement.
