Subject: Forthcoming AGM

In order to quell a few myths regarding the forthcoming AGM I thought it worthwhile explaining a few salient points;

As a limited company we use the OCR Ltd. Memorandum and Articles as our guide.

These state that proxy votes are acceptable at the AGM if received by the Secretary at least 48 hours in advance of the scheduled commencement of the meeting.
Any instrument appointing a proxy will be in a similar form to the following;
I (NAME) a member of OCR Ltd hereby appoint (NAME, also a member of OCR Ltd.) to vote for me at the AGM of OCR Ltd on (DATE) at at every adjournment thereof.
As witness my hand this......day of ....... 2002. This should then be signed.

The person elected for voting as a proxy will in effect collect two voting slips at the AGM, from the Secretary if the above has been received within the allotted time.
