?mmmm..... company law.. lets see if I can expain it to you in baby terms without involving a lot of Law gibberish.

First of all a company is an artificial person that is created for some common purpose. Its a person cos it can do what people can do, like get into contracts. Now the thing is, the company is not alive, its activites are conducted by a few peeps, they're collectively called board of directors. These people can either do business regularly or they can misuse there powers and make black money, smuggle and con people under the companies name. There has to be some one to protect the interests of the company, the people and the workers of the company. this is done by having some rules and regulations so that the company can function safely.

Company law therefore are laws(rules and regulations) that protect the interstes of everyone that are connected to the company. it protects even the board of directors, becos there are times when third parites can con them.

So if I'm studying company law it means that, I'm learning everything that has to protect the interests of company, shareholders, board of directors etc etc. And making sure that all contracts that the company and the peeps associated with the company are entering into are legal and do not in any way put the peeps at loss and risk. To make sure that all the rules of the government are abided by... there are also times when you have to know how to manipulate these rules...hehehhe... I do that too, like getting out of situations and goof ups the co. gets into and trying to get away with things...

We also learn a lot of criminal law and other law stuff here not much associated with company law.. I wont get into it cos you wont understand.

This must have gone over and above your head isnt it?? I'll stop here... I dont think you understood anything..... hhahaha. Lemme know if you got anything I said. :)It'll just be a help to me cos then I'lll know if I'm good at explaining things.
