ERG advises that it has realised approximately $13 million from the
disposal of shares held by ERG Group in Downer EDI.

The shares, which were released from escrow at the end of June, were
disposed of on market late yesterday.

Downer EDI has agreed to discontinue its action and ERG discontinue
its counter claim against Downer EDI on the basis that the action has
been settled.
