Firstly, thanks Dave for posting the flags.

The second flag is supposed to be a generic, non-British imperial flag without the Union Jack.

The red, white and blue colours are from the Union Jack to represent the British heritage. The top left star is the North Star representing Britain and Canada, and the stars in the bottom right are the Southern Cross representing Australia and New Zealand (the stars are five-pointed as in the NZ flag, but are all white as in the Australian flag).

The blue represents the oceans.

The cross represents the Greenwich Meridian and the Equator in a sort of stylised map of the world. It is off-centre for two reasons - the Americas to the left of the Greenwich Meridian are fairly narrow from east to west, while the other continents on the east side of the Meridian are fairly wide (the distance across Asia). The other reason is that a St. George's cross would look too English, while an off-centre cross is more neutral.
