Key investments include:

• Prepayment Cards Limited – a smart card issuing and clearing system servicing the UK transit operators.

Shareholders include Stagecoach, FirstGroup, National Express Group and ERG. Prepayment Cards will provide

card management, issuing and data management to the transit operators and other card operators. It has

already established a relationship with the Post Office.

• ECard Pty Limited – a joint venture between ERG, ANZ Bank and Telstra. ECard has the Proton licence

for Australia and will process Proton transactions and sub-license use of the technology.

• card.etc AG – a company created to be the licensee of MASS for all of Germany (excluding

Berlin/Brandenburg). Shareholders include DeTeCardService (a subsidiary of Deutsche Telekom) and VDV (the

German association of public transport). card.etc was awarded the transit smart card system for VRR, the

transport association of the Rhein-Ruhr region, on 19 September 2001.

• PWI – ERG currently owns 10% of PWI and, as described in Section 7.3, has agreed to acquire the remaining

90%. PWI is a leading multi-application, high-security, payment and identity, smart card technology company.

PWI’s activities are described in more detail in Section 4.

• Triumphant Launch Sdn Bhd – a joint venture between ERG and PWI. Triumphant Launch has won the

contract to provide Proton technology as the nationwide payment platform for Malaysia and will seek to do

the same in other Asian countries.

In addition to the investments above, ECS has entered into a range of joint ventures and alliances, which include:

• National Roads and Motorists’ Association ("NRMA") – joint development of smart card technology

to support NRMA’s 2 million customers.

• Transurban – joint development of a toll collection system integrating smart card and free-flow tolling

technologies. Transurban is the operator of CityLink tollway in Melbourne.


• Interpay – joint venture to enable transit operators and other organisations to issue multi-application smart

cards in the Netherlands. The joint venture has agreed to enter into an exclusive licence of ERG’s MASS

technology for the Netherlands. Interpay represents all the major Dutch banks.
