Adilbrand's guess was right, I've played Rolemaster and still have a bunch of the books. 3E is in a nut shell a D20 and simplified rip off of Rolemaster. I also used it when I was making my alterations to 2E and for gaming ideas.

Rolemaster is probably the best system I've seen, but it is complicated and tends to scare off novice players. I would use the Risk/Axis&Allies/Supremacy analogy when comparing 2E/3E/Rolemaster. It would have been better with the aid of computer programs like with what came with the 3E PHB. Alas, it was ahead of it's time. However, if you like Rolemaster, I'd strongly suggest giving 3E a try.

The problem is most everyone has played D&D if they've roleplayed and it's the best starting point in lieu of other system whether better or worse. As for converting to 3E, most of it is simple since it's based on D100 (D%) so it's mostly a matter of dividing by 5. The resource books are great and the spell lists are what excited me the most about the system. My first character was an Archmage specialized in Void magic, a great bit of fun until the DM moved away.
